Terms of business
Terms.
The small print, kept as plain as we can make it.
The detail
01/01These Terms of Business apply to all services provided by Worker Be LLP (“Worker Be”, “we”, “our” or “us”) and form part of every proposal, quotation, booking and coaching agreement. By accepting a quotation, signing an agreement, or paying a deposit or fee, the Client agrees to be bound by these Terms.
In these Terms, the “Client” is the organisation booking our services, and “participants” are the people who take part, such as the Client’s employees.
Where a signed agreement or accepted proposal sets out different terms for a particular engagement, that agreement or proposal takes precedence over these Terms to the extent of the difference.
1. Our services.
Worker Be provides corporate wellbeing services, including conscious connected breathwork, breathwork education, wellbeing workshops, one-to-one and team coaching, consultancy, retreats and related experiences.
The services to be provided, together with the agreed dates, venue, timings, fees and any additional deliverables, will be set out in the accepted proposal, quotation or coaching agreement.
2. Booking confirmation.
A booking is confirmed only when:
- the proposal, quotation or coaching agreement has been accepted or signed;
- these Terms of Business have been accepted; and
- the required deposit or fee has been received.
Dates cannot be reserved without a confirmed booking.
3. Fees and payment.
Unless otherwise agreed in writing:
Events, workshops and retreats.
- A non-refundable deposit of 50% of the total booking fee is payable within 48 hours of the invoice date.
- The remaining balance is payable no later than 4 weeks before the event.
- Bookings made within 4 weeks of the event require payment in full upon booking.
Coaching packs.
- The fee for a coaching pack is payable in full before the pack begins, by the date shown on the invoice.
- No refunds are given for missed sessions, non-attendance, or where participants choose to stop engaging with the work, except as set out in section 5. Any other refund is at our sole discretion.
All services.
- All invoices are payable by bank transfer.
- Worker Be reserves the right to delay, suspend or cancel a booking or coaching pack where payment has not been received by the due date.
- Interest and recovery costs may be charged on overdue commercial invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4. Cancellation by the Client.
This section applies to events, workshops and retreats. Cancellation of individual coaching sessions is covered in section 9.
The agreed fee reflects the reservation of our time, venue, resources and the loss of opportunity to accept alternative work. Should the Client cancel a confirmed booking, the following charges apply:
- More than 8 weeks before the event: the deposit remains non-refundable.
- Between 4 and 8 weeks before the event: 75% of the total agreed fee becomes payable.
- Less than 4 weeks before the event: 100% of the agreed fee becomes payable.
Where Worker Be has already incurred non-refundable third-party costs, including venue hire or supplier fees, these also remain payable by the Client.
Requests to transfer an event to another date will be considered wherever reasonably possible but cannot be guaranteed.
5. Cancellation by Worker Be.
If we are unable to deliver an event or a coaching session because of illness, emergency or circumstances beyond our reasonable control, we will make every reasonable effort to provide an alternative facilitator, agree an alternative date or session time, or extend the coaching pack.
Where none of these is possible, all monies paid for an affected event will be refunded in full, and fees paid for any coaching sessions we have not delivered will be refunded.
6. Changes to a booking.
Any request to change the agreed date, venue, timings, participant numbers, the people taking part or the scope of work should be made in writing as soon as reasonably practicable.
Material changes requested after confirmation may require a revised quotation and remain subject to availability.
7. Delivery of services.
Worker Be will deliver the services described in the accepted proposal, quotation or coaching agreement. Unless specifically included there, the following are excluded:
- additional workshops or team sessions;
- extended session time;
- additional coaching sessions;
- written reports;
- additional facilitators;
- photography or videography.
Any additional services requested by the Client may incur additional charges.
8. Coaching packs.
Coaching packs are delivered within a fixed pack period. The coaching agreement sets out the pack period, the number of sessions, and the number of participants who may use them.
To maintain momentum and depth:
- Sessions take place weekly, ideally on the same day and at the same time.
- All sessions must be used within the pack period. Sessions not used by the end of the pack period expire and are not carried over.
- Missed sessions are forfeited.
- If we cancel a session or need time off, planned or unplanned, the pack period will be extended accordingly.
- Where the coaching agreement includes a top-up point, the pack must be topped up when that point is reached so the work continues without a break.
Where included in the coaching agreement, participants receive written session reports summarising insights and discoveries. These are confidential to each participant (see section 17).
9. Session times, rescheduling and attendance.
- Participants book their own sessions through our online booking system. Session times are fixed once booked.
- At least 48 hours’ notice is required to cancel or reschedule a session.
- Sessions cancelled or changed within 48 hours are fully chargeable and cannot be rescheduled.
- Requests to start earlier or later, or to shorten or lengthen a session, cannot be accommodated within 48 hours of the session.
- If a participant arrives late, the session still ends at the scheduled time.
- If we arrive late, the session will be extended.
- If a participant does not attend, the session is forfeited.
10. Contact between sessions.
- Our coaches are available Monday to Thursday, 09:00 to 17:00 UK time. Messages received outside these hours are answered when the coach is next available.
- Participants may message their coach through the channel agreed at the start of the pack for logistical matters, brief check-ins and short questions that support integration between sessions.
- Extended emotional processing and deeper exploration are held in session rather than by message.
- Any additional messaging support a coach chooses to offer is discretionary and does not form part of the agreement.
- Urgent support between sessions may be available, depending on the coach’s schedule, and is charged as a separate one-off session.
11. Early termination of coaching.
We may end a coaching pack without refund if:
- sessions are repeatedly missed;
- engagement with the work is insufficient;
- agreed boundaries are not respected;
- disrespectful or abusive behaviour occurs;
- a participant’s needs exceed our professional scope; or
- the working relationship is no longer productive or safe.
Where this happens, we may recommend appropriate alternative support.
12. Client responsibilities.
The Client agrees to:
- provide accurate information about the event, anticipated participant numbers and the people taking part;
- nominate a primary point of contact before and during the engagement;
- ensure participants arrive at the agreed venue at the agreed time;
- notify Worker Be of any accessibility requirements, safeguarding considerations or other information that may materially affect safe delivery;
- ensure participants comply with any reasonable instructions given by Worker Be during a session; and
- bring these Terms, in particular sections 13 to 17, to the attention of every participant before they take part.
Where the Client requests that an event takes place at a venue not arranged by Worker Be, the Client shall ensure that the venue is suitable for the agreed activities and complies with all relevant health and safety requirements.
13. Participant responsibilities in coaching.
Coaching works best when participants take part fully. Participants are asked to:
- book their sessions proactively and attend on time;
- read their session reports;
- complete assigned practices, breathwork and exercises;
- keep a journal and bring it to sessions;
- communicate honestly and directly;
- arrive sober, unless otherwise discussed with their coach;
- come willing to explore discomfort, insight and emotional truth; and
- maintain personal agency: we guide, and participants remain responsible for their own lives and choices.
14. Participant suitability and safety.
Participation in breathwork, coaching and all wellbeing activities is entirely voluntary. Participants are encouraged to practise within their own physical and emotional limits and may pause or stop at any time.
Anyone with a medical condition that may affect their ability to participate safely should seek appropriate medical advice before attending, and should tell the facilitator or coach before their first session.
Participants remain responsible for listening to their own bodies and exercising personal judgement throughout each session. Worker Be reserves the right to modify, pause or end a participant’s involvement where continuing may compromise their safety or the safety of others, and to refuse participation where an individual appears to be under the influence of alcohol or recreational drugs.
15. Scope of practice and medical disclaimer.
Worker Be provides educational, coaching and wellbeing services.
- We are not doctors, psychiatrists, clinical psychologists or licensed therapists.
- We do not provide medical treatment, psychotherapy, counselling, psychiatric care or clinical healthcare, and we do not diagnose or prescribe.
- Our services are not intended to diagnose, treat, cure or prevent any physical or mental health condition, and are not a substitute for medical or psychiatric care.
- Our services are not a crisis or emergency service. Medical and mental health emergencies require clinical support.
Individuals with cardiovascular disease, uncontrolled hypertension, epilepsy, glaucoma, detached retina, recent surgery, severe respiratory illness, pregnancy, significant psychiatric illness, or any condition that may be affected by breathwork should seek appropriate medical advice before participating.
16. Outcomes.
Every participant responds differently. Although many participants report benefits such as reduced stress, increased resilience, improved emotional awareness and greater wellbeing, Worker Be makes no representation or guarantee that any particular outcome or benefit will be achieved.
17. Confidentiality.
Coaching sessions are confidential to the participant, except in the following circumstances:
- disclosure of intent to harm themselves or someone else;
- disclosure of abuse, or of risk to a minor or vulnerable adult;
- a court order requiring documentation;
- professional supervision, where the participant’s identity is anonymised; or
- legally mandated reporting related to serious offences.
Session reports are written for the individual participant alone and are not shared with the Client or with any other participant.
In workshops and group sessions, participants are encouraged to respect the confidentiality of personal experiences shared by others.
Worker Be will treat confidential commercial information received from the Client as confidential, except where disclosure is required by law.
18. Data protection.
Each party shall comply with its obligations under the UK General Data Protection Regulation, the Data Protection Act 2018 and, where applicable, the EU General Data Protection Regulation.
Where the Client provides personal data to Worker Be, including participant names or information about accessibility, safeguarding or medical conditions, the Client confirms that it has a lawful basis to share that data for the purposes of the engagement.
How we collect, use and protect personal data, including health information participants share with us, is set out in our Privacy Policy.
19. Recording, photography and filming.
We record the audio of coaching sessions solely to create that participant’s session notes and reports, and for no other purpose. Recordings are confidential to the participant concerned and are not shared with the Client or with any other participant. They are stored securely, may be transcribed using secure software acting on our behalf, and are deleted once the session notes have been prepared. A participant may ask for any session, or part of a session, not to be recorded.
Other than this, no photography, filming or audio recording may take place without the prior written agreement of Worker Be and, in coaching, the participant concerned. Where promotional photography has been agreed, appropriate participant consent will be obtained before any images are used.
20. Intellectual property.
All presentations, teaching materials, workbooks, recordings, methodologies, exercises, frameworks and related content, including session reports, remain the intellectual property of Worker Be.
No material may be copied, reproduced, distributed, published, recorded or delivered without the prior written consent of Worker Be.
21. Travel and accommodation.
We do not ordinarily charge for routine travel associated with delivering events within our normal operating area. For example, an event requiring routine travel to London would not normally incur a travel charge.
Where an event requires significant travel, such as overnight accommodation, flights or ferry travel to Scotland, Northern Ireland or elsewhere, these costs will be discussed in advance and set out in the proposal or quotation before the booking is confirmed. No travel or accommodation costs will be charged unless agreed in writing before confirmation.
If the Client requests changes after confirmation that result in additional travel or accommodation costs, those additional costs are payable by the Client.
22. Insurance.
Worker Be maintains appropriate Professional Indemnity Insurance and Public Liability Insurance for the services it provides. Evidence of insurance can be supplied on request.
23. Limitation of liability.
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for death or personal injury caused by negligence.
Subject to that, Worker Be’s total liability arising out of or in connection with the services shall not exceed the total fees paid by the Client for the relevant booking or coaching pack.
Worker Be shall not be liable for any indirect or consequential losses, including loss of profit, revenue, business opportunity, goodwill or reputation.
24. Force majeure.
Neither party shall be liable for any delay or failure to perform its obligations where it arises from circumstances beyond its reasonable control, including severe weather, natural disaster, pandemic, epidemic, government restrictions, industrial action, transport disruption, terrorism, war, venue closure, or utility, internet or communications failure.
Where reasonably possible, both parties will work together to agree an alternative date or session time, or to extend the coaching pack.
25. Complaints.
Any complaint relating to our services should be submitted in writing within fourteen days of the event or session concerned. We will acknowledge receipt promptly and endeavour to resolve the matter fairly and professionally.
26. General.
Entire agreement. These Terms, together with the accepted proposal, quotation or coaching agreement, form the entire agreement between the parties and supersede any prior discussions or arrangements.
Variation. No variation is effective unless agreed in writing by both parties.
No waiver. A failure or delay by either party to enforce any term is not a waiver of that term or of any other term.
Assignment. The Client may not assign or transfer its rights or obligations without the prior written consent of Worker Be.
Third party rights. A person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of these Terms.
Severance. If any provision is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
Notices. Any notice shall be given in writing to Worker Be at the email address below, and to the Client’s nominated primary contact.
27. Governing law.
These Terms are governed by the laws of England and Wales. Any dispute arising from them is subject to the exclusive jurisdiction of the courts of England and Wales.
